Qbill Portal – Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Qbill electronic invoicing platform ("Platform"), operated by Qorebox Solutions Limited ("Qbill," "we," "us," or "Service Provider").

By accessing or using the Platform, you agree to comply with these Terms and all applicable Nigerian laws and electronic invoicing regulations.

1. Eligibility

You represent and warrant that:

  • You are at least 18 years old.
  • You are authorized to act on behalf of the business entity you represent.
  • Your business possesses a valid Tax Identification Number (TIN) where required.
  • You are eligible to participate in Nigeria's electronic invoicing ecosystem.

2. Account Registration & Security

  • You must provide accurate, complete, and current registration information.
  • You are responsible for maintaining the confidentiality of login credentials.
  • You must implement appropriate security controls, including Multi-Factor Authentication (MFA) where applicable.
  • You are responsible for all activities conducted under your account.

Qbill reserves the right to suspend access where account security is compromised.

3. Regulatory Compliance

You acknowledge that Qbill operates within Nigeria's regulated e-invoicing ecosystem and that:

  • You must comply with the National e-Invoicing Guideline 2025 and all directives issued by relevant authorities.
  • All invoices submitted must follow the prescribed national schema and format (e.g., UBL / JSON).
  • You must ensure accuracy, authenticity, and legality of all invoice data.
  • You must not use the Platform for fraudulent, misleading, or unlawful invoicing activities.

Failure to comply may result in suspension or regulatory reporting.

4. Scope of Services

Subject to your subscription plan, Qbill provides:

  • Secure validation and transmission of electronic invoices to the designated government platform.
  • Processing of Invoice Reference Numbers (IRN), acknowledgements, digital signatures, and QR codes.
  • System Integration (SI) services where contracted.
  • Managed regulatory compliance updates.

Services are provided in accordance with the applicable Service Level Agreement (SLA).

5. Service Availability & Limitations

  • Qbill commits to 99.9% monthly platform availability at the Access Point Provider (APP) Gateway level, excluding scheduled maintenance, force majeure events, or government platform downtime.
  • Scheduled maintenance will be communicated in advance.
  • Qbill shall not be liable for service interruptions caused by:
    • Government e-invoicing infrastructure downtime
    • Customer systems or third-party providers
    • Internet or telecommunications failures outside our control

Support response times are governed by the SLA.

6. Data Protection & Confidentiality

Qbill processes data in compliance with applicable Nigerian data protection laws.

  • All invoice data is transmitted using industry-standard encryption.
  • Access is restricted to authorized personnel.
  • Audit logs are maintained for regulatory and compliance purposes.
  • Data is processed solely for service delivery and regulatory compliance.

You retain ownership of your invoice data. Both parties agree to treat confidential information as strictly confidential.

7. Acceptable Use

You agree not to:

  • Submit false, misleading, or manipulated invoice data.
  • Attempt unauthorized access to the Platform or its infrastructure.
  • Circumvent regulatory controls or validation mechanisms.
  • Reverse engineer, disrupt, or interfere with the Platform's operations.
  • Exceed subscribed invoice volume limits without authorization.

8. Intellectual Property

All rights, title, and interest in the Qbill Platform, including software, APIs, documentation, trademarks, and proprietary technology, remain the exclusive property of Qorebox Solutions Limited.

You are granted a limited, non-transferable, non-exclusive right to use the Platform strictly for lawful electronic invoicing purposes.

9. Limitation of Liability

To the maximum extent permitted under Nigerian law:

  • Qbill shall not be liable for indirect, incidental, consequential, or punitive damages.
  • Qbill's total aggregate liability arising out of your use of the Platform shall not exceed the fees paid by you in the preceding twelve (12) months.
  • Qbill is not responsible for regulatory penalties arising from inaccurate or unlawful data submitted by you.

Nothing in these Terms limits liability where such limitation is prohibited by law.

10. Suspension & Termination

Qbill may suspend or terminate access where:

  • You breach these Terms.
  • Regulatory authorities mandate suspension.
  • Fraud, misuse, or gross misconduct is detected.
  • Payment obligations are not fulfilled.

Upon termination, regulatory record retention obligations may still apply.

11. Dispute Resolution

Any dispute arising from these Terms shall first be resolved amicably through good-faith negotiation.

Where resolution is not achieved, disputes shall be submitted to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
